Company Secretary<\/p>\n<p>Application Deadline:18th February 2021<\/p>\n<p><b>Job Purpose<\/b><\/p>\n<p>To assist the Company Secretary in preparing general contracts.<\/p>\n<p><b>Main Responsibilities<\/b><\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Support the Company Secretary and Head of Legal on contract management.<\/li>\n<li>Manage the administrative function related to filing and storage of general contracts in an organized manner.<\/li>\n<li>Preparation of relevant legal opinions as required by the business with regards to bank\u2019s contract issues.<\/li>\n<li>To coordinate, and manage standard, general contracts that are non-lending, but includes structured\/loan products which are lending in nature.<\/li>\n<li>To assist the Company Secretary and Head of Legal in drafting general contracts on time for customers on request from relevant departments and branches within and outside the bank.<\/li>\n<li>As and when tasked by the Company Secretary and Head of legal, participate in negotiations, drafting and implementation of general contracts and agreements in which the bank is a party so that the bank\u2019s interest is protected and avoid unnecessary loss arising out of poor drafting.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><script async src=\"httpsss:\/\/pagead2.googlesyndication.com\/pagead\/js\/adsbygoogle.js\"><\/script><br \/>\n<!-- 2019-CreativeAD --><br \/>\n<ins class=\"adsbygoogle\" style=\"display: block;\" data-ad-client=\"ca-pub-4564014896468666\" data-ad-slot=\"8884173138\" data-ad-format=\"auto\" data-full-width-responsive=\"true\"><\/ins><br \/>\n<script>\n     (adsbygoogle = window.adsbygoogle || []).push({});\n<\/script><\/p>\n<ul>\n<li>To act as custodian of the bank\u2019s general contracts.<\/li>\n<li>To assist the Company Secretary and Head of Legal in maintaining the contract register and ensuring all contracts are renewed\/terminated timely.<\/li>\n<li>To manage the performance of Legal Counsel and Legal Officer- General Contracts, develop and implement training and development plans to ensure their performance is aligned with business goals and objectives.<\/li>\n<li>To provide guidance on contract matters to the business in contracting practices and procedures.<\/li>\n<li>Contribute towards assisting reviewing different engagements from the bank\u2019s products and innovation team and transactional banking.<\/li>\n<li>Handle other tasks as assigned by the Company Secretary and Head of Legal from time to time.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><b>Knowledge and Skills<\/b><\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li>Business understanding of legal and risk management framework.<\/li>\n<li>Technical: Company law, contracts law.<\/li>\n<li>Behavioral: Communication, Decision Making, Flexibility, Quality Orientation.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><b>Qualifications and Experience<\/b><\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li>Minimum of a bachelor\u2019s degree in law;
