TMRC was established in 2010 through an initiative of the Government of the Republic of Tanzania in collaboration with stakeholders to supporting residential housing ownership to Tanzanians through Housing Finance Project (HFP). The purpose of TMRC is to support banks to do mortgage lending by refinancing banks\u2019 mortgage portfolios on a long term basis. (www.tmrc.co.tz)<\/div>\n<\/div>\n<div id=\"post-body-7230715858832452607\" class=\"post-body entry-content\">\n<p>TMRC is hereby inviting applications from suitable qualified candidates to fill in the following vacant position currently existing in the company:<\/p>\n<p>JOB TITLE\u00a0 :\u00a0<b>Head of Legal Services and Company Secretary<\/b><\/p>\n<p>REPORTS TO\u00a0 :\u00a0 Chief Executive Officer for Legal Services and Board Director on Board Matters<\/p>\n<p>SUPERVISE :\u00a0 Legal Officer<\/p>\n<p>LOCATION :\u00a0 \u00a0Dar es Salaam<\/p>\n<p><b>\u00a0Overall Job Function\u00a0<\/b><\/p>\n<p>The incumbent will be responsible to ensure the Company complies with laws and regulation of the country and provide advice to management and Board on legal matters as well as protect and defend the Company from legal liabilities.<\/p>\n<p><b>Key responsibilities:<\/b><\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li>Responsible for filing returns to various authorities in accordance to legal and regulatory requirements;<\/li>\n<li>Preparing, executing and filing of the Company\u2019s Annual Returns, Returns of Allotment of Shares, Forms of termination and appointment of Directors and Secretaries;<\/li>\n<li>Updating the Company\u2019s MEMARTS and files the amendments together with its approved Resolution with the Registrar of Companies;<\/li>\n<li>Draft security documents and ensure they are properly executed and filed with the Registrar of Companies after approvals;<\/li>\n<li>Research on the new laws and prepare a quarterly report on changes on legislations and submit to the Management and the Board;<\/li>\n<li>Notify Management and Board on relevant legislations and implications to the internal policies and procedures and to the business in general;<\/li>\n<li>Advise Management and Board on changes that will need to be made to comply with new legislations;<\/li>\n<li>Provide advice and legal opinion on legal and governance matters to management and Board meetings;<\/li>\n<li>Follow up on shareholders resolutions and Board directives and provide feedback;<\/li>\n<li>Prepare procedures for the prevention and resolution of disputes and ensure the Company interests are adequately addressed;<\/li>\n<li>Liaise with and contract External Lawyers on litigation issues that the company is a part, and keep Management and the Board updated on the progress;<\/li>\n<li>Notify Board and Management of outcomes of litigation and other legal proceeding for or against the Company;<\/li>\n<li>Provide legal protection and risk management advise to management particularly relating to contracts management;<\/li>\n<li>Update Company file at the Registrar of Companies;<\/li>\n<li>Ensure allotment, transfer and transmission of shares;and<\/li>\n<li>Timely and accurately prepare and register security documents.<\/li>\n<li>Academic &amp; Professional Qualification:<\/li>\n<li>At least a Bachelor Degree in Law and Advocate of the High Court of Tanzania.
